LLP or private limited: which should you register?

It is the first real decision every founder makes, and one of the hardest to reverse. Both structures give you limited liability. Beyond that, they suit different kinds of businesses. Here is the comparison we walk clients through in Chennai every week.

What they have in common

Both an LLP and a private limited company are separate legal entities. Your personal assets are protected, the entity can own property and sign contracts, and both need at least two people to start.

Where they differ

Funding

This is usually the deciding factor. Investors put money into companies, not LLPs. If you plan to raise from angels or venture funds, or issue ESOPs to employees, register a private limited company. An LLP cannot issue shares.

Compliance load

An LLP is lighter. Fewer mandatory filings, no board meetings, and audit becomes compulsory only after certain turnover or contribution limits. A private limited company files more with the ROC every year regardless of size. Lighter is not zero: an LLP that misses its two annual filings still collects penalties that grow by the day.

Tax

The comparison is not one sided. LLP profits are taxed at a flat rate, and partners can draw remuneration and interest that the LLP deducts. Companies have their own concessional rates but distributing profits to owners adds a second layer of tax. The better answer depends on how much profit you expect and how much of it you want to take out. This is worth a real calculation, not a rule of thumb.

Credibility and exit

Large customers, lenders and acquirers are more comfortable with companies. Transferring ownership of a company is cleaner: shares change hands. Exiting an LLP means amending the agreement and deed work.

The simple rule

If you will raise outside money, hire with ESOPs, or sell the business one day, register a private limited company. If it is a professional practice or a family business that will grow on its own profits, an LLP keeps life simpler and often cheaper.
